Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cedar AI platform, including all software, services, APIs, and integrations (collectively, the "Service") provided by Cedar AI Agents, Inc. ("Cedar," "we," "us," or "our"), a corporation incorporated in British Columbia, Canada.

By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

1. The Service

Cedar provides an AI-powered employee referral automation platform that integrates with Slack and applicant tracking systems (ATS) to help organizations identify, qualify, and route employee referrals. The Service operates through a Slack-based interface and connects to third-party systems including Greenhouse and other ATS platforms via Merge.dev.

2. Accounts and Access

Access to the Service is granted through your organization's Slack workspace. You are responsible for maintaining the security of your Slack credentials and for all activities that occur through your account. You must notify Cedar immediately at support@getcedar.ai if you become aware of any unauthorized use.

3. Customer Data

You retain all ownership rights to data you provide to Cedar through the Service ("Customer Data"), including employee information, referral submissions, and ATS data. Cedar processes Customer Data solely to provide the Service and as described in the applicable Data Processing Addendum (DPA).

The Service includes artificial intelligence and machine learning features ("AI Features") that process employee and candidate information to generate referral recommendations. All AI outputs are recommendations only — Cedar does not make hiring decisions and all decisions remain with you.

You own all inputs submitted to and outputs generated by AI Features in connection with your use of the Service. Cedar uses AI Content only as necessary to provide the AI Features to you.

Each party agrees to protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Neither party will disclose the other's confidential information to third parties without prior written consent, except as required by law.

7. Security

Cedar maintains appropriate administrative, physical, and technical safeguards to protect Customer Data. Cedar's infrastructure is hosted on Google Cloud Platform (GCP) with AES-256 encryption at rest and TLS 1.2+ in transit. Cedar is actively pursuing SOC 2 Type II certification, with audit completion targeted for Q3 2026.

Cedar will notify you promptly in the event of a confirmed security breach affecting Customer Data and will take appropriate steps to mitigate harm.

8. Fees and Payment

Fees for the Service are as set forth in the applicable Order Form or agreement between Cedar and your organization. During any free trial or evaluation period, the Service is provided at no charge subject to the terms of the applicable evaluation agreement.

9. Term and Termination

These Terms remain in effect for the duration of your subscription or, for evaluation periods, for the duration of the evaluation. Either party may terminate the agreement in accordance with the terms of the applicable Order Form or evaluation agreement. Upon termination, Cedar will delete Customer Data within 30 days and provide written certification upon request.

10. Warranties and Disclaimers

Cedar warrants that the Service will perform materially in accordance with applicable documentation. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE IS PROVIDED "AS IS" AND CEDAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEDAR'S AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES PAID BY YOU TO CEDAR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL CEDAR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

The foregoing limitations do not apply to Cedar's obligations under any Data Processing Addendum or to Cedar's liability for breach of its confidentiality or data security obligations.

12. Indemnification

Cedar will defend, indemnify, and hold you harmless from third-party claims arising from Cedar's breach of its confidentiality, data privacy, or data security obligations under these Terms or any applicable DPA. You will defend, indemnify, and hold Cedar harmless from third-party claims arising from your use of the Service in violation of these Terms or applicable law.

13. Sub-Processors

Cedar uses sub-processors to deliver the Service, including Google Cloud Platform, Merge.dev, Vapi.ai, and others as listed in the applicable DPA. Cedar ensures all sub-processors are bound by data protection obligations consistent with these Terms.

14. Changes to Terms

Cedar may update these Terms from time to time. For customers with active agreements, material changes will be communicated with at least 30 days notice. Continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the Province of British Columbia, Canada, excluding its conflict of laws principles. Any disputes arising under these Terms will be resolved by binding arbitration at a mutually agreed neutral location, unless otherwise agreed in writing.
